GOVERNANCE

Health and safety are central to Sodexo’s culture, supported by a governance framework with clear accountability, robust policies, and consistent monitoring to protect the well-being of employees, clients, and consumers worldwide. To ensure this commitment is embedded at the highest level, each fiscal year the Group CEO appoints a member of the Senior Leadership Team (SLT) to chair the Group health and safety committee, which meets quarterly. The committee provides strategic oversight of health and food safety, sets bonus-linked performance objectives, and reviews performance, major incidents, audit outcomes, and progress against strategic fundamentals, with input from regional and operational leaders.

The Group health and safety committee is supported by a global health and safety professional family chaired by the head of global health and safety, and comprising regional health and safety leaders and other relevant stakeholders as required.

Each region has similar governance arrangements to drive a focus on health and safety improvement within their business.

The structure of the Group health and safety leadership team is designed to ensure that all regions are equally represented by their regional health and safety director who work with the global core health and safety team as a professional family to develop, drive and monitor the health and safety strategy, objectives, KPIs, compliance to global health and safety standards and to share best practice.

The health and safety professional family meets on a monthly basis to review progress against plan, discuss performance, raise concerns, share best practice and maintain quality of reporting, including KPIs.

  1. Group Chief Executive Officer
    • Appointment: The Chair of the Health & Safety Committee is appointed annually from among the members of the Executive Committee.
    • Responsibility: Appoint, each year, the Chair of the Health & Safety Committee from the Executive Committee.
  2. Executive Committee (Comex) Responsibilities:
    • Empower the Health & Safety Committee to steer the Group’s strategy evolution.
    • Make decisions on strategy planning and deployment.
    • Oversee people and food safety, and the execution of health & safety plans.
    • Review performance and progress against strategic fundamentals.
    • Analyze performance trends and significant events.
  3. Group Health & Safety Committee
    • Chaired by: The designated member of the Executive Committee, with representatives from all regions and operating units.
    • Responsibilities:
      • Validate the health & safety strategy, actions, and impact indicators.
      • Monitor and set targets for impact indicators and significant events.
      • Escalate information to the Group Executive Committee / Group CEO.
  4. Health & Safety Director
    • Appointment: By the Executive Committee.
    • Responsibilities:
      • Lead the development and implementation of the strategy.
      • Lead the global professional community and organize operational support.
  5. Health & Safety Professional Families
    • Appointment: By the regional/country leadership team.
    • Responsibilities:
      • Provide a regional perspective, showcase best practices, and support cultural transformation.
      • Provide operational support to achieve strategic objectives and impact indicators.
  6. Region / Country LeadershipResponsibilities:
    • Make safety a mandatory agenda item at all leadership team meetings.
    • Ensure and implement core strategic health & safety initiatives in all key global processes and standards.
    • Develop, execute, and monitor health & safety plans and governance.
    • Escalate discussion points to the Group Health & Safety Committee.
